NOTICE OF MEETING

 

NOTICE is hereby given that the Annual General Meeting of Gosford Golf Club Limited will be held in the Clubhouse on Tuesday, 3rd October 2017 at 7.00pm.

 

AGENDA

  1. To confirm Minutes of the Annual General Meeting held on Tuesday 11th October 2016.
  2. To receive and consider the report of the Board.
  3. To receive and consider the Balance Sheet, Profit and Loss Statement and the report of the Auditors.
  4. To declare the results of the election of the Board for the ensuing year.
  5. To appoint the Club Patron for the ensuing year.
  6. To deal with any business of which due notice has been given.
  7. To consider and if thought fit, to pass the two Ordinary Resolutions as listed below.
  8. To consider and if thought fit, to pass with or without amendments, the amendments to the Gosford Golf Club Memorandum of Association and Articles of Association and By Laws as listed below.
  9. General Business.

 

Notice of Ordinary Resolutions to be considered at the Annual General Meeting.

To comply with Section 10(6) & 10(6a) of the Registered Clubs Act and 7b of the Club Constitution, it is now necessary that member approve entitlements for volunteer workers, Club Directors and Committee Members by vote.

 

 

First Resolution-For Directors

  1. The members hereby approve and agree to the provision of the Club of the following benefits to Directors during their term of office.

 

  • Reasonable expenses incurred by Directors in relation to such other duties, including entertainment of special guests to the club and other promotional activities performed by Directors, which activities and the expenses thereof are approved by the Board before payment is made on production of receipts, invoices, or other proper documentary evidence of such expenditure.
  • Reserved car parking.

 

The members acknowledge that these benefits are not available to members generally.

 

Second Resolution – for Professional Development and Education

  1. The members hereby approve and agree to the reasonable expenditure by the Club for the professional development and education of directors until the next Annual General Meeting and being:
    • Reasonable cost of Directors attending seminars, lectures, trade displays and other similar events as may be determined by the Board from time to time.
    • Reasonable cost of directors attending other registered clubs for the purpose of viewing and assessing their facilities and methods of operation provided such attendances are approved by the Board as being necessary for the betterment of the Club.

 

Special Resolution

“The members hereby approve an extension to the President’s tenure to the 2019 A.G.M.”

 

Proposal to include in Article 49 of the Memorandum of Association and Articles of Association and Bylaws of the Gosford Golf Club Ltd.

Motion to include “Article 49 (n) – The Board may at its discretion appoint a maximum of two directors within the cap of seven directors per board to address skill gaps and shortages on the board. An appointed board director shall be for a maximum term of three years. Appointed board members must join the club as an ordinary member prior to their appointment and remain a member for the lifetime of their directorship.”
